Trademark Request and Confidentiality Declaration

Simone Färber, Berliner Straße 17, 40880 Ratingen, Germany hereinafter referred to as "NETMARK"

and

_________________________________________ hereinafter referred to as the "POTENTIAL BUYER"

As a trademark-broker NETMARK is mediating between those offering TRADEMARKS and the companies which need them. Whereas the POTENTIAL BUYER is interested in acquiring TRADEMARKS fulfilling the requirements as are set out hereafter:

Now, therefore, the parties hereto conclude the following Broker-Contract Trademarks:

1. NETMARK conducts trademark searches for suitable trademarks and offers a variety of TRADEMARKS to the POTENTIAL BUYER provided that the search was successful.

2. The information forwarded to the POTENTIAL BUYER shall neither be disclosed to any third party nor be misused by the POTENTIAL BUYER. The POTENTIAL BUYER undertakes not to apply for the registration of the TRADEMARKS offered through NETMARK in his own name. Furthermore, the POTENTIAL BUYER undertakes not to take any action against the existence and the usage of the TRADEMARKS offered through NETMARK and/or to refrain from supporting attacks from third parties. The POTENTIAL BUYER agrees to be bound to this provision for two years upon the date of signature of the last of the parties to sign this Agreement (effective date) on a world-wide basis.

3. After receipt of a trademark search request NETMARK charges a fee of EURO 1.000,00 plus applicable VAT. This amount is deductible from the final commission in case of a successful search.

4. In the event that the POTENTIAL BUYER acquires one or more of the TRADEMARKS offered the POTENTIAL BUYER shall pay to NETMARK a commission of 15% of the net purchase price plus VAT, with a minimum of EURO 1.250,- per TRADEMARK. The commission shall be payable without request as of the date of signature of the respective Deed of Assignment. The POTENTIAL BUYER shall inform NETMARK on the conclusion of the Deed of Assignment. The commission for NETMARK's services as a trademark-broker shall be payable also in cases where the Deed of Assignment was signed after the duration of this Agreement .

5. The duration of this Agreement will be one year counted upon the date of signature of the last of the parties to sign this Agreement. Both parties to this Agreement shall be entitled to terminate this Agreement by written notice with immediate effect.

6. NETMARK does not provide legal professional advice on the particular facts and circumstances at issue and shall not be liable in any event for defects of the TRADEMARKS or damages resulting of it. All offers are provisional if not otherwise agreed to.

7. If any provision, clause or application of this Agreement shall be held unlawful, invalid or unenforceable in whole or in part by any court or other competent authority such provision, clause or application shall be deemed severable and this Agreement shall continue to be valid as to all other provisions, clauses or applications and the parties shall meet and negotiate in good faith a valid and enforceable replacement for the severed provision, clause or application which replacement shall be designed to achieve as nearly as possible the same commercial objective as the original.

8. This Agreement shall be governed by the laws of Germany which is agreed to be the applicable law of this Agreement.
